Acquisitions
Mr. Rose’s particular knowledge of, and relationships with the banking industry allows him to effectively identify and negotiate cost-effective terms with selected lenders that not only understand the waste, energy and environmental industries, but also can facilitate “leveraged” acquisitions. In other words, we try to negotiate agreements that maximize the amount of debt available as opposed to additional equity.
For larger acquisitions (or for companies that have outgrown just one bank), we can often save the acquiring company significant money and time by assisting in the negotiation of a bank “club” as described elsewhere on this site.
We have relationships with many accountants, appraisers, and other legal offices with considerable expertise in the acquisition or sale of environmental companies. This allows us to help clients form their acquisition “team” in the event that they are missing a particular area of expertise. Again, by focusing on the “financeability” of the proposed transaction and then the negotiation of any financing required, Mr. Rose can augment regular company counsel in achieving a successful outcome.
Clients and Projects
Mr. Rose has served approximately 85 clients in the waste, recycling and related energy for over 20 years, almost all of which are still active clients. He has assisted those clients in negotiating terms for the financing for equipment, facility, acquisition and other needs totaling approximately $2.5 billion during that period.
He has assisted in the negotiation of credit agreements for established companies as well as financing of unique larger projects for well capitalized, single purpose entities including two material recovery facilities for subsidiaries of BLT Enterprises, one of which, located in Sacramento, California is shown at right.
He began assisting companies in the renewable energy area in 1982, as the first Executive Director of the California Alternative Energy Financing Authority. After his return to private practice, he continued in renewables financing, serving clients including, among others, the developer of a landfill gas to energy project in the late ‘80’s. He finds the new interest in LFG , biomass etc. to be , in the immortal words of Yogi Berra, “déjà vu all over again!”
Successful clients have also benefited from Mr. Rose’s services in negotiating financing for equipment and facilities that were required by their takeover of new service areas including a multi-million dollar financing for Cleanscapes, Inc. which is now the solid waste & recyclables collection franchisee for half of the City of Seattle, WA.
